1. Acceptance of Terms
By accessing this website, requesting a proposal, or signing a statement of work with BizFusionX, you agree to be bound by these terms and by any policies referenced in them.
If you are accepting on behalf of a company, you confirm you have the authority to bind that company. Where a signed master services agreement exists, that agreement takes precedence over anything written here.
2. Scope of Services
The services we provide are defined in the statement of work agreed before an engagement begins — its scope, deliverables, timeline and fees are the contract.
Anything outside that document is out of scope until both sides agree a written change request. We will always tell you when a request crosses that line rather than absorb it silently.
3. Client Responsibilities
Consulting work depends on the material you give us. To keep an engagement on schedule you agree to:
- Provide accurate, complete and timely information, data and access.
- Nominate a decision-maker who can approve deliverables within the agreed review window.
- Secure any third-party licences or consents needed for us to do the work.
- Tell us promptly if your priorities, budget or timeline change.
4. Fees and Payment
Fees, currency, milestones and payment terms are set in the statement of work. Unless it says otherwise, invoices are payable within 30 days of issue.
Fees are exclusive of taxes, travel and third-party costs, which are billed at cost. Overdue amounts may attract interest and may pause delivery until the account is settled.
5. Intellectual Property
You own the deliverables produced specifically for you once we have been paid in full for the engagement that produced them.
We keep ownership of our pre-existing frameworks, models, templates and know-how, and of anything we build that is generic rather than specific to you. You get a perpetual licence to use those elements inside the delivered work.
6. Confidentiality
Each side will keep the other's confidential information private, use it only to perform the engagement, and protect it with at least the care it applies to its own.
This does not cover information that is already public, independently developed, or that we are legally required to disclose — in which case we will tell you where we lawfully can.
7. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care by suitably qualified people.
Consulting advice informs your decisions; it does not guarantee a commercial outcome. Beyond the warranty above, the website and its content are provided as-is, without further warranty of any kind.
8. Limitation of Liability
To the extent permitted by law, neither party is liable for indirect, incidental or consequential loss, including lost profits, revenue or data.
Our total aggregate liability under an engagement is capped at the fees paid for that engagement in the twelve months before the claim arose. Nothing here limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited.
9. Termination
Either party may terminate an engagement with 30 days' written notice, or immediately if the other materially breaches these terms and fails to fix the breach within 15 days of being told.
On termination you pay for work performed and costs committed up to that date, and we hand over the work product produced so far.
10. Governing Law
These terms are governed by the laws of India, and the courts of Gujarat have exclusive jurisdiction over any dispute arising from them.
Before litigating, both sides agree to attempt resolution in good faith through a meeting of senior representatives.
11. Changes to These Terms
We may update these terms as our services evolve. The revision date at the top always reflects the current version, and material changes will be flagged on this page.
Continuing to use the site or our services after an update means you accept the revised terms.
